Official Rules — Terms and Conditions

This is a skill-based contest. No fee or purchase is required to enter. Entry is free. Void where prohibited by law.

These Official Rules (these “Rules”) govern The Agentic Build contest (the “Contest”). By submitting an Entry (defined below), you (“you,” “Participant,” or “entrant”) agree to be bound by these Rules and by the decisions of Sponsor, which are final and binding in all matters relating to the Contest, exercised consistently with the objective criteria stated in these Rules. Please read these Rules before entering. Posting an Entry constitutes acceptance of these Rules.

1. Sponsor.

The Contest is sponsored and administered by Dakota Ridge, Inc., a Delaware (“Sponsor” or “Dakota”). The Contest is not sponsored, endorsed, administered by, or associated with X Corp., LinkedIn Corporation, Anthropic, PBC, or any other social media platform, technology provider, or amplification partner. 2. Contest Period.

The Contest begins at 9:00 a.m. Eastern Time on June 17, 2026 and ends at 11:59 p.m. Eastern Time on July 1, 2026 (the “Contest Period”). Entries posted before the Contest Period opens or after it closes are void, regardless of build quality or build time. Sponsor’s clock is the official timekeeper for Contest Period boundaries; the timestamp assigned by the applicable social media platform to a qualifying Entry post is the official timestamp of that Entry (the “Entry Timestamp”).

3. Eligibility.

The Contest is open to natural persons who, as of the date of their Entry, meet all of the following requirements:

  1. Are at least eighteen (18) years old and have reached the age of majority in their jurisdiction of residence, whichever is greater;
  2. Are not located in, or operating from, any prohibited jurisdiction, which includes all US comprehensively sanctioned countries (Cuba, North Korea, Iran, and Syria) and prohibited regions (Crimea, the so-called Donetsk People’s Republic, and the so-called Luhansk People’s Republic regions of Ukraine, Myanmar, Belarus, and Russia) where Dakota’s Platform and the Services are prohibited by law;
  3. Are not listed on any government list of prohibited or restricted parties, including sanctioned persons or entities identified by the U.S. Department of the Treasury’s Office of Foreign Assets Control Specially Designated Nationals and Blocked Persons (“SDN”) list, or other U.S. non-SDN restricted or prohibited parties lists;
  4. Are not employees, officers, directors, contractors, or agents of Sponsor, its affiliates, its advertising or promotion agencies, or any Contest amplification partner, and are not immediate family members (spouse, parent, child, sibling, and their respective spouses) or household members of any of the foregoing;
  5. Successfully complete Sponsor’s KYC/KYB verification process and are lawfully able to open and maintain a Dakota account under Sponsor’s terms of service and applicable law; and
  6. Have the legal capacity to enter into these Rules.

Entry is by individual builders only. A Participant may be assisted by AI agents and tooling of the Participant’s choice, but each Entry must be the work of a single human Participant. Sponsor may require proof of identity, age, and residence as a condition of verification or prize payment. The Contest is void where prohibited or restricted by law.

4. How to Enter — Free Entry.

No purchase, payment, or fee is required to enter or win. Access to Sponsor’s sandbox environment, completion of KYC/KYB verification, and entry into the Contest are free of charge. Participants may use any AI agent, model, or development tooling of their choice; any third-party tools a Participant elects to use are at the Participant’s option and expense and are not a condition of entry. To enter, a Participant must complete all of the following during the Contest Period:

  1. Build. Create a working financial product (for example, a neobank, payouts product, or treasury product) agentically on Sponsor’s sandbox environment, using a sandbox account that has completed Sponsor’s KYC/KYB verification process. All sandbox activity uses simulated test funds; no live funds move (see Section 13).
  2. Record. Capture a continuous video recording of the complete build session showing elapsed wall-clock time from start to finish. Builds without a complete recording are not eligible.
  3. Post. Publish a public post on X or LinkedIn that: (a) tags @dakota; (b) includes both hashtags #TheAgenticBuild and #Builders; (c) states the Participant’s total build time; and (d) links to the build recording (the “Entry”). The post must remain publicly available through verification and, for winners, through the end of the Contest Period.

A Participant may submit multiple Entries; the Participant’s fastest Verified Entry (defined below) will be the Participant’s time of record. By posting an Entry, the Participant accepts these Rules, consents to the data practices described in Section 11, and grants the license described in Section 9. Participants are responsible for complying with the terms and disclosure requirements of the platform on which they post, including disclosure of their participation in the Contest where required by applicable law; inclusion of #TheAgenticBuild satisfies Sponsor’s requirement that Entries identify themselves as Contest entries.

5. Verification; Valid Entries.

An Entry becomes a “Verified Entry” when Sponsor confirms each of the following objective criteria (the “Verification Criteria”):

  1. The sandbox account used for the build completed Sponsor’s KYC/KYB verification process;
  2. The working product permits a user to log in, make a deposit, view a balance, and make a withdrawal, evidenced by a successful outbound sandbox transfer;
  3. A public code repository for the build is available and remains publicly accessible through verification; and
  4. The recording shows the complete build session and end-to-end elapsed wall-clock time consistent with the build time stated in the Entry post.

Sponsor will apply the Verification Criteria uniformly to all Entries and will use commercially reasonable efforts to complete verification within five (5) business days of an Entry being posted. If an Entry fails verification solely because of a technical defect in its submission materials (for example, a broken recording link or an inaccessible repository), Sponsor will notify the Participant, who may cure the defect once within three (3) days of notice; the original build time and Entry Timestamp are unaffected by a cure. An Entry that fails the Verification Criteria on substance (including any indication that the recording does not reflect a continuous session or that the stated time is inaccurate) is invalid.

6. Winner Determination — Objective Criteria.

The Contest is a contest of skill. Winners are determined solely by objective criteria: verified elapsed wall-clock build time, as established by the recording and confirmed through the Verification Criteria. Chance plays no part in the determination of winners.

  1. Rolling Recognition Tier. Every Verified Entry with a build time under nine (9) hours (a “Qualifying Build”) earns the Rolling Reward described in Section 7. There is no limit on the number of Qualifying Builds.
  2. Finale Tier. The three (3) Verified Entries with the fastest build times at the close of the Contest Period earn the First, Second, and Third Place prizes described in Section 7, announced on or about Day 14 of the Contest Period.
  3. Tiebreaker. If two or more Verified Entries record identical build times, the Entry with the earliest Entry Timestamp (the timestamp assigned by the social platform to the qualifying Entry post) prevails. Sponsor’s verification date and order do not affect ranking or ties.

7. Prizes.

Finale Tier winners also receive the Rolling Reward if their winning build is a Qualifying Build. Dakota platform credits: (a) may be applied only against fees for Sponsor’s platform services; (b) are non-transferable and have no cash value and may not be redeemed or exchanged for cash; (c) expire twelve (12) months after issuance; and (d) require a Dakota account in good standing. Prizes are non-assignable. No substitution of prizes is permitted, except that Sponsor may substitute a prize of equal or greater value if a stated prize becomes unavailable. Sponsor may increase prize amounts or add prizes at any time during the Contest Period; any increase applies as stated in Sponsor’s announcement. Prizes already earned will never be reduced, revoked, or made subject to new conditions.

8. Prize Payment; Dakota Account Required.

All prizes are delivered through the winner’s Dakota account. Cash-denominated prize amounts are paid in USD-denominated stablecoin credited to the winner’s Dakota account, and platform credits are issued to the same account. Maintaining a Dakota account in good standing (including completion of KYC/KYB verification) is a condition of receiving any prize. Opening a Dakota account and completing verification are free of charge. Prize payment is subject to applicable law in the winner’s jurisdiction of residence. If Sponsor determines that delivery of stablecoin to a winner is prohibited or impracticable under applicable law, Sponsor may substitute the stablecoin portion of the prize with Dakota platform credits of equivalent value or another form of payment of equal or greater value at Sponsor’s discretion. As conditions of prize payment, each winner must, within fourteen (14) days of Sponsor’s notification: (a) complete and return Sponsor’s winner documentation; (b) provide a completed IRS Form W-9 (for U.S. persons) or applicable Form W-8 (for non-U.S. persons); and (c) complete any outstanding identity or sanctions screening. Failure to timely satisfy these conditions results in forfeiture of the prize. A forfeited Finale Tier prize will be awarded to the Participant with the next-fastest Verified Entry. Winners are solely responsible for all federal, state, provincial, and local taxes on prizes, including taxes on the value of platform credits. Sponsor will report prize income as required by law, including on IRS Form 1099 where applicable, based on the aggregate approximate retail value of cash-denominated prizes and credits awarded.

9. Intellectual Property; License to Sponsor.

Participants retain full ownership of the products, code, and other materials they create in connection with the Contest. Sponsor claims no ownership of any Participant build. By submitting an Entry, each Participant grants Sponsor a non-exclusive, worldwide, royalty-free license to display, reproduce, excerpt, link to, and redistribute the Participant’s Entry post, build recording, public repository content, stated build time, and associated public materials, in whole or in part, for purposes of administering and promoting the Contest and Sponsor’s products and services, including on the Contest leaderboard, in social media spotlights, and in marketing materials. Each Participant represents and warrants that their Entry is their own original work, that they have all rights necessary to grant this license, and that their Entry does not infringe or misappropriate the rights of any third party.

10. Publicity.

Except where prohibited by law, by entering, each Participant grants Sponsor a perpetual, worldwide, royalty-free right to use the Participant’s name, social media handle, likeness as it appears in the Entry materials, biographical information, build time, and Entry content (including the build recording, public repository, and Entry post) for Contest administration, promotion, and marketing of the Contest and Sponsor’s products and services, including without limitation on the Contest leaderboard, in social media spotlights, in blog posts, newsletters, advertising, and in case studies or comparable produced marketing content. Finale Tier winners agree to cooperate reasonably with Sponsor in the creation of promotional content, including participating in written or recorded interviews and reviewing draft case studies for factual accuracy, for a period of six (6) months following the end of the Contest Period. Such cooperation will be scheduled at mutually convenient times and will not require more than four (4) hours of a winner’s time in the aggregate. No additional compensation is owed for promotional uses described in this section; compensation for all such uses is included in the prize. This section constitutes the Participant’s publicity release and no separate release is required as a condition of prize payment.

11. Privacy; Data Use.

Sponsor collects and processes the following in connection with the Contest: public Entry posts and associated handles and profile information; build recordings and public repository contents; and the information Participants submit through Sponsor’s account opening and KYC/KYB processes. KYC/KYB information is used for verification, sanctions screening, and compliance purposes and is handled in accordance with Sponsor’s Privacy Policy as supplemented by these Rules and related documentation. Sponsor may share Participant information with service providers supporting verification, prize payment, and tax reporting. Participants’ public Entry materials may be republished as described in Sections 9 and 10. Participation may involve transferral of personal information to the United States. For Participants located in the European Economic Area, the United Kingdom, or Switzerland: Sponsor processes personal data on the basis of performance of the contractual relationship established by these Rules (Article 6(1)(b) GDPR), for marketing and promotional uses described in Sections 9 and 10, Sponsor’s legitimate interest in administering and promoting the Contest (Article 6(1)(f) GDPR), and for KYC/KYB and sanctions screening, compliance with applicable legal obligations (Article 6(1)(c) GDPR). These Participants have the right to access, rectify, erase, restrict processing of, and port their personal data, and to object to processing based on legitimate interest, in each case as provided under applicable data protection law. To exercise these rights, contact Sponsor at the email address identified in these Rules. Personal data collected in connection with the Contest will be retained for no longer than twenty-four (24) months after the end of the Contest Period, except as required for tax reporting or anti-money laundering record-keeping, legal compliance, or the resolution of disputes. For transfers of personal data from the EEA to the United States, Sponsor relies on the safeguards described in its Privacy Policy. 12. Disqualification; Conduct.

Sponsor may disqualify any Entry or Participant, applying the standards below uniformly, where Sponsor determines that: (a) the Entry does not satisfy the Verification Criteria; (b) the recording has been edited, accelerated, or otherwise manipulated, or does not reflect a single continuous build session; (c) the stated build time is inaccurate; (d) the Participant has violated these Rules, platform terms, or applicable law; (e) the Participant has tampered with the operation of the Contest or the sandbox environment, or used multiple identities or accounts to circumvent these Rules; or (f) the Participant fails identity, eligibility, or sanctions screening. Sponsor will notify a disqualified Participant and, for disqualifications under (a) through (c), will identify the criterion not met. Rolling Rewards already paid for an Entry later shown to have been procured by fraud may be recovered to the extent permitted by law.

13. Sandbox Environment; No Live Funds.

The Contest is conducted entirely in Sponsor’s sandbox environment. All balances, deposits, transfers, and withdrawals in the sandbox use simulated test funds. No live customer funds move in connection with any Contest build, and no Contest build constitutes a live financial product, an offer of banking or money transmission services, or a customer relationship with Sponsor. Sponsor is a financial technology infrastructure company; Sponsor is not a bank. References to “real rails” and similar phrases in Contest marketing refer to the design of Sponsor’s platform; Contest builds operate against the sandbox version of that platform with test funds only.

14. Modification; Suspension; Termination.

Sponsor may amend these Rules during the Contest Period only: (a) to increase prize amounts or add prizes; (b) to correct typographical errors; or (c) as necessary to comply with applicable law or to address fraud, security, or technical failures that compromise the integrity of the Contest. No amendment will reduce, revoke, or impose new conditions on prizes already earned. If the Contest cannot run as planned for reasons beyond Sponsor’s reasonable control, Sponsor may suspend or terminate the Contest; in that event, Sponsor will award all Rolling Rewards earned before suspension or termination and will award Finale Tier prizes based on Verified Entries as of the date of termination.

15. Release; Limitation of Liability.

To the maximum extent permitted by applicable law, each Participant releases and holds harmless Sponsor, its affiliates, and their respective officers, directors, employees, and agents, and X Corp., LinkedIn Corporation, and Contest amplification partners, from any claim arising out of participation in the Contest or acceptance or use of any prize, except for claims arising from Sponsor’s failure to award prizes in accordance with these Rules, fraud, or willful misconduct. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPONSOR’S AGGREGATE LIABILITY TO ANY PARTICIPANT ARISING OUT OF THE CONTEST IS LIMITED TO THE VALUE OF THE PRIZE(S) FOR WHICH THE PARTICIPANT IS ELIGIBLE, AND IN NO EVENT WILL SPONSOR BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to all Participants. Nothing in these Rules excludes liability that cannot be excluded under applicable law.

16. Disputes; Governing Law; Arbitration.

These Rules and any dispute arising out of the Contest are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Except for small-claims matters and claims for injunctive relief relating to intellectual property, any dispute arising out of the Contest will be resolved by binding individual arbitration administered by JAMS under its applicable rules, in Denver, Colorado or by video conference. PARTICIPANTS WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Where applicable law does not permit mandatory arbitration or a class waiver for a Participant, this section applies to that Participant only to the extent permitted.

17. General.

If any provision of these Rules is held invalid, the remaining provisions remain in effect. Sponsor’s failure to enforce a provision is not a waiver. These Rules, together with the documents they reference, are the entire agreement between Sponsor and each Participant regarding the Contest.
